Members

HCE, LLC is a privately-owned, member-managed, limited liability company. HCE, LLC was formed pursuant to the Virginia Limited Liability Company Act.

HCE, LLC's Articles of Organization were filed in July 2003 for the purpose of developing the Integrated Plasma Fuel Cell process invented by Meyer Steinberg, formerly of Brookhaven National Laboratory in New York.

In a limited liability company, the members are the owners of the company and they provide oversight of the company pursuant to an operating agreement. Certain members are also managers of the company pursuant to that operating agreement.

The operating agreement defines a Board of Managers, which exercises full power and authority in the management of HCE.

The member managers are ---

  • James C. Jordan, President

  • Meyer Steinberg, Vice President and Chief Engineer

  • Louis Ventre, Jr, Executive Vice President, General Counsel and Secretary

The three member managers currently equally own all of the 100,000,000 million Ownership Shares the Company.

Over the next seven years,the Company is expected to fully demonstrate and commercialize its process. In year seven, the Company expects to convert to a stock corporation with at least 50% ownership by outside investors.
